1. Acceptance of Terms

By accessing or using the Xentori WhatsApp Business Messaging Platform ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Xentori is a WhatsApp Business messaging platform that allows authorized business staff to send, receive, and manage customer conversations via the Meta WhatsApp Business Cloud API. The Service is intended exclusively for legitimate business communications and is not a consumer-facing messaging application.

Features include:

  • Two-way WhatsApp messaging with customers
  • Conversation management and search
  • Real-time message delivery and read status
  • Multi-agent inbox for team-based support

3. Eligibility & Account Registration

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. Accounts are created and managed by Xentori administrators; self-registration is not available to the general public.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at anurag@xentori.com if you suspect unauthorized access.

4. Acceptable Use

You agree to use the Service only for lawful business communication purposes. You must not:

  • Send spam, unsolicited bulk messages, or messages to individuals who have not opted in to receive communications
  • Use the Service to harass, threaten, or intimidate any person
  • Send content that is illegal, defamatory, obscene, or infringes on third-party intellectual property rights
  • Attempt to circumvent the WhatsApp Business messaging policies or Meta's Platform Policies
  • Reverse-engineer, decompile, or attempt to extract source code from the platform
  • Use the Service in a way that could damage, disable, or impair its functionality
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Collect or harvest user data without consent

Violations may result in immediate account suspension and reporting to the appropriate authorities or Meta, as applicable.

5. WhatsApp & Meta Platform Compliance

Your use of Xentori is also subject to Meta's WhatsApp Business Policy and Meta Platform Terms. You are responsible for ensuring your business messaging complies with all applicable WhatsApp policies, including obtaining proper opt-ins from message recipients and respecting the 24-hour customer service messaging window.

Xentori reserves the right to suspend accounts that are flagged for WhatsApp policy violations, regardless of the reason, to protect the integrity of our platform access.

6. Data & Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the data practices described in the Privacy Policy.

If you use Xentori on behalf of a business, you are the data controller for your customers' data. You are responsible for obtaining appropriate consent from your customers before sending them messages via WhatsApp and for complying with all applicable data protection laws (e.g., GDPR, CCPA).

7. Intellectual Property

All rights, title, and interest in and to the Xentori platform, including its software, design, logos, and documentation, are owned by Xentori and its licensors. These Terms do not grant you any ownership rights to the platform.

You retain all rights to the content you send and receive through the Service. By using the Service, you grant Xentori a limited, non-exclusive license to process, store, and transmit your content solely to the extent necessary to provide the Service.

8. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, third-party outages (including Meta/WhatsApp API outages), or unforeseen circumstances may cause temporary unavailability.

We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice. Material changes to the Service or these Terms will be communicated at least 14 days in advance where practicable.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. XENTORI DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XENTORI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

11. Indemnification

You agree to indemnify and hold harmless Xentori, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with internationally recognized arbitration rules.

13. Termination

Either party may terminate these Terms at any time by providing written notice. We may suspend or terminate your access immediately if you materially breach these Terms or violate applicable law or Meta's platform policies.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, disclaimers, and limitations of liability) will continue to apply.

14. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated to registered users via email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
